 Whereas

 

On behalf of the Open Service Management Alliance (OSMA), ACQUIROS, in its capacity as the Certification Body for OSM), and the Authorized Partner listed below have entered into a license agreement pursuant to which the Authorized Partner is entitled to use the ACQUIROS and OSMA Trade Marks and Copyright Material in relation to Permitted Uses (the Agreement).

 

Scope

Training:

 

This agreement covers the use of the OSM Foundation course materials, diagrams, logos, trademarks and wordmarks created by the OSMA and managed by ACQUIROS. 

 

The materials may be used by the Authorized Partner listed below exclusively for delivery of training leading to the OSM Foundation certification exam.  The materials may not be used for training that does not result in a certification exam.

Consulting:

This agreement covers the use of the OSM diagrams, logos, trademarks and wordmarks created by the OSMA and managed by ACQUIROS. 

 

The materials may be used by the Authorized Partner listed below exclusively for delivery of OSM consulting services. 

 

Confidentiality

 

The OSM products are protected by certain copyrights and trademarks and shall remain the sole and exclusive property of the OSMA.  Except as expressly provided in this agreement and any attachments hereto, such products shall not be used, copied, reproduced, stored electronically or recorded in any form without the express written permission of ACQUIROS specifying the use to which the copy or reproduction can be used.

 

Terms

 

The term of this Agreement shall be one year, however either party may terminate this Agreement without cause by sending sixty (60) days’ notice to the other party.  The Agreement will auto-renew on the date stated at the beginning of it.

 

Modifications

 

Modifications to the OSM Foundation course materials are acceptable so long as the syllabus guidelines continue to be met and any copyright or trademarks are properly used.

Modifications resulting in a change in more than 10% of the content and/or timing should be submitted to ACQUIROS and may result in additional assessment and related fees.

 

Governing Law and Jurisdiction

 

This variation agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and interpreted in accordance with the law of the United States.

 

The parties irrevocably agree that the courts of the United States have exclusive jurisdiction to settle any dispute or claim that arises out of, or in connection with, this letter agreement or its subject matter or formation (including non-contractual disputes or claims).
